Redomiciliation is the process which allows an existing company to transfer its head office to another.

CHANGING A HEAD OFFICE WITHIN LUXEMBOURG

According to a simple process, an existing Luxembourg company can move its head office to our address.

  • Status of the existing company : the company to be transferred has to provide the following documents: last certificate of incumbency, memorandum of association, business license (for trading activities), latest balance sheet,  social security identification, latest salary slips, etc…

  • Identification of the beneficial owners : to be in accordance with the 1999 law on domiciliation and the 2004 law against money laundering, we need to identify clearly, on the basis of documents, the identity of the beneficial owners, their activity and the financial flows of their company…

  • Steps to be taken : a meeting is organized to define the steps to take and the implementation schedule.

The introduction of the company to a new bank is one of the above mentioned steps.

The change of the head office from a jurisdiction to another requires a notarial deed.

  • Case of a trading company: should the company carry out commercial activities in the absence of a business license, this situation must to be urgently remedied by submiting a documented application to the Middle Class Ministry.

  • Registration of the corporate modifications: must be notified to Company House. We fulfil these formalities and ask for a new extract to make these changes official.

MOVING THE HEAD OFFICE ABROAD

A company can transfer its head office to another country. The change of nationality has no consequence on its existence, which is particularly important for entities bound by several trading agreements.
